Entre ATOM eLearning LLC, incorporada bajo las Leyes del Estado de La Florida, en fecha 01 de septiembre de 2022, domiciliada en la ciudad de Miami, Estado de La Florida (en adelante AKADEMIA), por una parte; y por la otra, cualquier USUARIO AFILIADO que haga uso de la PLATAFORMA E-LEARNING AKADEMIA en cualquiera de sus modalidades o cualquier otro servicio que pueda incorporarse en el futuro, se ha convenido en celebrar el presente contrato, que el “USUARIO AFILIADO” debe revisar detenidamente en todo su contenido y confirmar que lo ha leído, entendido y aceptado de manera inequívoca, sin reservas y en todo su alcance, haciendo “Click” en el boton “Aceptar”.
1.- DEFINICIONES. –
AKADEMIA: Se refiere a la sociedad mercantil ATOM eLearning LLC, identificada en el encabezado.
PLATAFORMA E-LEARNING AKADEMIA: Se refiere a Página Web www.akademia.com y todos sus subdominios, el Software de E-learning AKADEMIA disponible en lms.akademia.com y a la Aplicación para dispositivos móviles AKADEMIA.
USUARIO AFILIADO: Se refiere a cualquier persona natural mayor de edad y civilmente hábil o bien, cualquier persona jurídica legalmente constituida que se haya adquirido una suscripción válida para afiliarse a la PLATAFORMA E-LEARNING AKADEMIA.
INSTRUCTORES: Se refiere a un grupo de individuos y tecnologías avanzadas, de alto nivel práctico, académico y profesional, preparados y entrenados en diversas áreas del conocimiento. Estos INSTRUCTORES son los responsables de elaborar el contenido educativo y el guion de los cursos asíncronos dedicados a la preparación, diseño, impartición, actualización y mejora continua, evaluación y retroalimentación de cursos y contenidos educativos disponibles en la PLATAFORMA E-LEARNING AKADEMIA®. Estos INSTRUCTORES abarcan: (i) Profesionales y expertos: todos de vasta experiencia práctica en sus respectivas áreas de conocimiento, que han demostrado un alto nivel de competencia y logro profesional, así como especialistas que combinan conocimientos teóricos y prácticos, aportando una perspectiva integral a los cursos disponibles en la plataforma. (ii) Profesores y académicos: todos con sólida formación académica y experiencia docente, investigadores que contribuyen con sus conocimientos actualizados al estado de la técnica y realizan aportaciones de valor en sus respectivas áreas de conocimiento. (iii) Inteligencia artificial: sistemas avanzados de IA desarrollados para asistir en la entrega de contenido educativo; algoritmos de aprendizaje automático que personalizan la experiencia según las necesidades de los USUARIOS AFILIADOS y INSTRUCTORES virtuales que proporcionan tutorías, evaluaciones automáticas y feedback inmediato, enriqueciendo el proceso educativo con análisis de datos y adaptaciones continuas. Los INSTRUCTORES de la plataforma están comprometidos con la excelencia educativa, dedicándose a ofrecer una experiencia de aprendizaje enriquecedora, personalizada y adaptada a las necesidades y objetivos de cada USUARIO AFILIADO. Su combinación de experiencia humana y tecnología avanzada garantiza un entorno de aprendizaje innovador y efectivo, accesible para todos los USUARIOS AFILIADOS inscritos en la PLATAFORMA E-LEARNING AKADEMIA.
2.- OBJETO Y ALCANCE. –
AKADEMIA pone a disposición y uso del USUARIO AFILIADO, sus cursos, materiales, recursos y demás contenidos educativos disponibles en su PLATAFORMA E-LEARNING AKADEMIA, a cambio del pago de una suscripción y de su compromiso de utilizar dichos recursos, de conformidad con lo previsto en el presente contrato. La PLATAFORMA E-LEARNING AKADEMIA ha sido diseñada para conectar a los USUARIOS AFILIADOS con un conjunto de INSTRUCTORES, materiales y contenidos educativos de muy alto nivel académico, que te ayudarán a realizar los cursos disponibles y proporcionarán, conocimientos, información útil y orientaciones académicas online.
3.- SUSCRIPCIÓN Y ACCESO. –
EL USUARIO AFILIADO deberá crear una cuenta en la PLATAFORMA E-LEARNING AKADEMIA para acceder a los contenidos. EL USUARIO AFILIADO es responsable de proveer información real, precisa y completa, así como mantener la confidencialidad de su cuenta y contraseña, y de todas las actividades que ocurran bajo su cuenta. EL USUARIO AFILIADO puede optar por una suscripción gratuita con acceso limitado a ciertos contenidos, o una suscripción paga, en cualquiera de sus modalidades, que ofrece acceso completo a los recursos y materiales disponibles en la PLATAFORMA E-LEARNING AKADEMIA. La suscripción proporcionará al USUARIO AFILIADO acceso a todos los cursos y contenidos disponibles en la plataforma (“all access”) durante la vigencia de la suscripción. Los cursos pueden incluir evaluaciones, certificados y otros materiales según lo especificado en cada curso individual.
El USUARIO AFILIADO a través de la PLATAFORMA E-LEARNING AKADEMIA tendrá acceso a espacio suficiente para almacenar y acceder con rapidez a todos sus datos e información personal, así como a cursos y contenidos educativos en línea, no presenciales las 24 horas del días, los siete (7) días de la semana y los trescientos sesenta y cinco (365) días del año. El USUARIO AFILIADO, podrá realizar cursos online y tendrá acceso planificado a INSTRUCTORES que lo ayudarán con la discusión y reforzamiento de los cursos y contenidos educativos ofrecidos en la PLATAFORMA E-LEARNING AKADEMIA.
4.- OBLIGACIÓN DE CARGAR INFORMACIÓN Y DATOS PERSONALES EN LA “PLATAFORMA E-LEARNING ACADEMIA”. –
El USUARIO AFILIADO estará obligado a registrarse y pagar la suscripción para poder activar su membresía en la PLATAFORMA E-LEARNING AKADEMIA. Para registrarse, el USUARIO AFILIADO deberá cargar su información y datos personales en los campos correspondientes exigidos por la PLATAFORMA E-LEARNING AKADEMIA. Para ello deberá incorporar toda la información que le sea requerida y hará sus mejores esfuerzos para que la información sea cargada de manera exacta e inequívoca, siendo responsable de la información que no haya sido cargada, o cuando se trate de información falsa, engañosa, incompleta o desactualizada. El USUARIO AFILIADO estará obligado a actualizar toda su información y datos prsonales en los campos correspondientes exigidos por la PLATAFORMA E-LEARNING AKADEMIA, de manera periódica, durante la vigencia del presente contrato.
El USUARIO AFILIADO autoriza a AKADEMIA® a almacenar en su base de datos de usuarios toda la información y datos personales necesarios para mantener su perfil actualizado. Los datos personales del USUARIO AFILIADO serán almacenados en servidores o medios magnéticos que cumplen con altos estándares de seguridad física y tecnológica. Dichos datos serán tratados bajo los más altos niveles de protección y privacidad, garantizando la libre circulación de los mismos y salvaguardando plenamente el derecho a la privacidad del USUARIO AFILIADO. AKADEMIA® implementará las medidas de seguridad necesarias para evitar su alteración, pérdida, tratamiento o acceso no autorizado, conforme a sus Políticas de Privacidad.Políticas de Privacidad AKADEMIA.
5.- DURACIÓN, SUSPENSIÓN Y TERMINACIÓN DE LA SUSCRIPCIÓN. –
La suscrición a la PLATAFORMA E-LEARNING AKADEMIA tendrá una duración indeterminada para el USUARIO AFILIADO contada a partir de la fecha de suscripción y activación del servicio. El USUARIO AFILIADO podrá mantener activo el servicio de la plataforma de manera ilimitada en el tiempo siempre y cuando mantenga al día los pagos correspondientes a su suscripción. El servicio de la PLATAFORMA E-LEARNING AKADEMIA terminará en cualquier momento, mediante los mecanismos que se establecen seguidamente.
El USUARIO AFILIADO podrá terminar el servicio y cancelar su cuenta en cualquier momento y unilateralmente, a través de una solicitud de terminación del servicio realizada a través de la PLATAFORMA E-LEARNING AKADEMIA, la cual se procesará automáticamente. No se considerarán como solicitudes de terminación del servicio aquellas realizadas mediante mecanismos diferentes a la PLATAFORMA E-LEARNING AKADEMIA. Una vez que el USUARIO AFILIADO haya enviado la solicitud de terminación del servicio y cancelación de su cuenta por el medio indicado, el servicio será suspendido al finalizar el último período contratado y la cuenta a modalidad de servivio gratis de forma inmediata. Sin embargo, el USUARIO AFILIADO podrá reanudar el servicio en el futuro utilizando la misma cuenta, ya que solo se bloquea el acceso, pero no la cuenta. El proceso de terminación no será irreversible, permitiendo al USUARIO AFILIADO reactivar su cuenta si así lo desea. AKADEMIA podrá en cualquier momento y unilateralmente suspender el servicio y/o terminar el contrato del USUARIO AFILIADO, así como impedir cualquier uso o acceso futuro a la PLATAFORMA E-LEARNING AKADEMIA. En este caso, la suspensión y/o terminación unilateral del servicio por parte de AKADEMIA será notificada al USUARIO AFILIADO mediante un mensaje escrito a tal efecto que será enviado a través de la PLATAFORMA E-LEARNING AKADEMIA. La terminación unilateral del servicio por parte del USUARIO AFILIADO no generará obligación de reembolso alguno por parte de AKADEMIA al USUARIO AFILIADO con respecto al precio pagado por la suscripción al servicio. El USUARIO AFILIADO no tendrá derecho a reclamar daños y perjuicios, lucro cesante, daño emergente, ni ningún otro concepto con motivo de la terminación unilateral del contrato.
AKADEMIA® se reserva el derecho, a su entera discreción, de borrar contenidos o suspender cuentas de USUARIOS AFILIADOS si detecta lenguaje agresivo, discriminatorio o inapropiado en el intercambio con profesores u otros usuarios. Esta medida busca mantener un entorno respetuoso y seguro para todos los participantes de la PLATAFORMA E-LEARNING AKADEMIA®. Cualquier conducta que viole esta política podrá resultar en la suspensión o terminación del acceso a los servicios sin previo aviso. AKADEMIA también podrá suspender temporal y unilateralmente el acceso a la PLATAFORMA E-LEARNING AKADEMIA a cualquier USUARIO AFILIADO, si en su criterio, éste quebrantara alguna ley, o incumpliera cualquiera de las estipulaciones establecidas en el presente documento y demás Términos y Condiciones aplicables y demás políticas del Sitio, o incurriera en conductas o actos dolosos o fraudulentos, o hubiera proporcionado información falsa o errónea.
6.- SUSCRIPCIONES. –
La contraprestación económica que pagará el USUARIO AFILIADO a AKADEMIA consistirá en una suscripción que podrá ser activada por períodos iguales, sucesivos e ilimitados en el tiempo. El precio y condiciones de la suscripción, será publicado en la Página Web www.akademia.com. El USUARIO AFILIADO realizará un pago único por membresía mensual, trimestral, semestral o anual, y a partir de la activación de su perfil en la PLATAFORMA E-LEARNING AKADEMIA®, tendrá acceso ilimitado a la plataforma desde cualquier parte del mundo. El USUARIO AFILIADO tendrá doce (12) horas para darse de baja de la plataforma sin costos adicionales y le será reembolsada su compra. Si cancelan el servicio después de las primeras 12 horas, disfrutarán de lo que hayan pagado hasta el momento y pasarán a cuenta gratis. No está contemplado ningún reembolso cuando se cancela el servicio salvo en las primeras 12 horas, como se menciona. No se realizarán cargos extras ni desembolsos adicionales. El pago se realizará de forma segura, a través de mecanismos que proporcionan la debida protección y confidencialidad de sus datos y mecanismos de pago.
AKADEMIA se reserva el derecho a revisar y modificar los precios de la suscripción en cualquier momento. No obstante, las modificaciones que AKADEMIA realice sobre el precio del servicio no tendrán efecto retroactivo, y no afectarán el(los) servicio(s) que haya(n) sido activado(s) por el USUARIO AFILIADO con anterioridad a la fecha de publicación de cada modificación. Las modificaciones de precios del servicio sólo tendrán efecto hacia el futuro con respecto a aquellos servicios que sean contratados y activados con posterioridad a la publicación de cada modificación.
7.- INDEPENDENCIA DE CRITERIO DE LOS INSTRUCTORES.-
AKADEMIA® es una empresa que ofrece servicios de plataforma tecnológica. Todos los INSTRUCTORES afiliados a la PLATAFORMA E-LEARNING AKADEMIA® son profesionales independientes que ejercen libremente su profesión, utilizando la plataforma para ofrecer sus cursos y materiales educativos asíncronos a los USUARIOS AFILIADOS. En este sentido, la PLATAFORMA E-LEARNING AKADEMIA® es exclusivamente un medio que permite a los USUARIOS AFILIADOS conectarse y acceder a una variedad de cursos y contenidos útiles para su desarrollo educativo. Toda información, dato, conocimiento, recomendación o indicación proporcionada por un INSTRUCTOR a través de la PLATAFORMA E-LEARNING AKADEMIA® es exclusivamente de su propia creación y autoría. Los INSTRUCTORES garantizan que sus trabajos son originales y no duplican obras de terceros. Por lo tanto, AKADEMIA® no se hace responsable de ningún daño o perjuicio relacionado con, o derivado de, dichas garantías.
8.- PRIVACIDAD Y MANEJO DE DATOS PERSONALES E INFORMACIÓN DEL USUARIO AFILIADO. –
Toda información que relacione la identidad del USUARIO AFILIADO es considerada información confidencial de carácter privado. Por lo tanto, será tratada como tal por AKADEMIA® bajo los más altos estándares de protección y privacidad relativos al tratamiento de sus datos personales y a la libre circulación de estos datos. A través de esta normativa, se garantiza plenamente el derecho a la privacidad del USUARIO AFILIADO, aplicándose las medidas de seguridad necesarias para evitar su alteración, pérdida, tratamiento o acceso no autorizado. Se observarán en todo momento las Políticas de Privacidad AKADEMIA®.
Adicionalmente, AKADEMIA® garantiza la confidencialidad de toda la información generada por el USUARIO AFILIADO en su interacción con la PLATAFORMA E-LEARNING AKADEMIA®. El USUARIO AFILIADO registrará y almacenará su información personal en la plataforma, y AKADEMIA® se compromete a utilizarla exclusivamente para mejorar la experiencia y el adecuado funcionamiento de la PLATAFORMA E-LEARNING AKADEMIA®. Además, se compromete a no ceder, transferir, vender, licenciar o divulgar esta información a terceros, excepto en los siguientes casos: (i) Si el USUARIO AFILIADO autoriza expresamente y por escrito hacerlo. (ii) Si es necesario para permitir a nuestros proveedores de servicios, entidades asociadas o agentes proveer un mejor servicio al USUARIO AFILIADO en nuestro nombre. (iii) Solo con el fin de proveerle al USUARIO AFILIADO nuestros productos o servicios, o aquellos de nuestras entidades asociadas. (iv) Solo para suministrarla a entidades que realicen servicios de mercadeo y promoción para nosotros o en nuestro nombre, o a entidades con las cuales tengamos alianzas de mercadeo. (v) Cuando sea necesario con motivo de la venta de la totalidad o una mayoría sustancial de los activos de AKADEMIA®, o su fusión o reorganización con otra entidad. (vi) Cuando sea requerido o permitido por la Ley.
A estos efectos, se considera como información personal los nombres y apellidos, la edad, el correo electrónico y los teléfonos de contacto del USUARIO AFILIADO. AKADEMIA® se reserva el derecho de utilizar datos anónimos provenientes de la información generada y almacenada durante el proceso de interacción entre el USUARIO AFILIADO y la PLATAFORMA E-LEARNING AKADEMIA®, con el fin de proveer información estadística a terceros.
9.- PROPIEDAD INTELECTUAL E INTANGIBILIDAD DEL CONTENIDO DE LA PLATAFORMA E-LEARNING AKADEMIA®. –
Toda información, texto, gráfico, interface de uso, interface visual, fotografías, marcas, logos, sonidos, música, obra literaria y códigos de ordenador, diseño, estructura, selección y disposición de espacios, apariencia visual o look & feel, así como cualquier arreglo o disposición de los elementos que componen la PLATAFORMA E-LEARNING AKADEMIA®, es propiedad de AKADEMIA y se encuentra debidamente protegido por las leyes de propiedad intelectual, competencia desleal y tratados internacionales aplicables. Por lo tanto, la PLATAFORMA E-LEARNING AKADEMIA® no podrá ser usada, copiada, reproducida, publicada, cargada o descargada, comunicada públicamente, decodificada, traducida, transmitida o distribuida de manera alguna a terceros, otros equipos, servidores o páginas web, por cualquier medio sin la expresa autorización de AKADEMIA. El USUARIO AFILIADO se compromete a no copiar, adaptar, reproducir, distribuir, aplicar ingeniería inversa, decompilar, o disimular cualquier faceta de la PLATAFORMA E-LEARNING AKADEMIA®. El USUARIO AFILIADO acepta y se obliga a no utilizar robots, "spiders", otros aparatos automatizados, o procesos manuales para controlar o copiar cualquier contenido de la PLATAFORMA E-LEARNING AKADEMIA®. Cualquier intromisión, tentativa o actividad violatoria o contraria a las leyes sobre derecho de propiedad intelectual y/o a las prohibiciones estipuladas en este contrato harán objeto a su responsable de las acciones legales pertinentes, y a las sanciones previstas por este acuerdo, así como lo hará responsable de indemnizar los daños ocasionados. AKADEMIA no reclamará derechos sobre la Propiedad Intelectual del contenido que el USUARIO AFILIADO suba, almacene o proporcione a la PLATAFORMA E-LEARNING AKADEMIA®. Queda claro que el servicio prestado por la PLATAFORMA E-LEARNING AKADEMIA®, así como los programas, bases de datos, redes, archivos que le permiten al USUARIO AFILIADO acceder y usar la PLATAFORMA E-LEARNING AKADEMIA®, son propiedad de AKADEMIA y están protegidos por las leyes y tratados internacionales en materia de Propiedad Intelectual. El uso indebido y la reproducción total o parcial de dichos contenidos quedan prohibidos, salvo autorización expresa y por escrito de AKADEMIA.
10.- CONTRATO DE LICENCIA DE USUARIO FINAL. –
AKADEMIA® es propietaria de la PLATAFORMA E-LEARNING AKADEMIA® y otorga al USUARIO AFILIADO una licencia no exclusiva, personal, intransferible y revocable para acceder y usarla exclusivamente dentro del contexto de los presentes términos y condiciones. La licencia se otorga a título oneroso y su precio está incluido en el monto pagado por el USUARIO AFILIADO por concepto de suscripción a la plataforma. Esta licencia entrará en vigencia y tendrá una duración igual a la del presente contrato de adhesión.
Sujeto a estos Términos y a nuestras Políticas, le otorgamos un derecho de licencia limitado, personal, no exclusivo, intransferible y revocable para utilizar nuestros Servicios. Los derechos otorgados en este documento son solo para su uso personal y no comercial, a menos que obtenga nuestro permiso por escrito para lo contrario. El USUARIO AFILIADO acepta que creará, accederá y/o utilizará solo una cuenta de usuario, a menos que AKADEMIA® lo permita expresamente, y no compartirá el acceso a su cuenta ni la información de acceso a su cuenta con ningún tercero. El uso de nuestros Servicios no le otorga la propiedad ni ningún derecho de propiedad intelectual sobre nuestros Servicios o el contenido al que accede.
El USUARIO AFILIADO no podrá alquilar, arrendar, prestar, vender, redistribuir ni sublicenciar la PLATAFORMA E-LEARNING AKADEMIA®. El USUARIO AFILIADO podrá acceder y/o descargar la PLATAFORMA E-LEARNING AKADEMIA® desde cualquier dispositivo que utilice o controle. AKADEMIA® se reserva todos los derechos no concedidos expresamente al USUARIO AFILIADO en este acto. AKADEMIA® puede, a su entera discreción, poner a disposición del USUARIO AFILIADO nuevas versiones o actualizaciones de la PLATAFORMA E-LEARNING AKADEMIA®, a las cuales será extensible esta misma licencia.
El USUARIO AFILIADO acepta que AKADEMIA® pueda captar y utilizar información y datos técnicos de sus dispositivos con el objeto de facilitar las actividades de mantenimiento, actualización y mejora de la PLATAFORMA E-LEARNING AKADEMIA®, así como el soporte y los servicios relacionados. El USUARIO AFILIADO reconoce y acepta que el uso de la PLATAFORMA E-LEARNING AKADEMIA® será bajo su propio riesgo y sin garantías de ningún tipo.
11.- OBLIGACIONES DE NO HACER DEL “USUARIO AFILIADO”. –
El USUARIO AFILIADO no podrá:
Utilizar aparatos o dispositivos, programas, algoritmos o metodologías, o cualquier otro proceso para acceder, adquirir, copiar o monitorear, reproducir o modificar la estructura de navegación o presentación de la PLATAFORMA E-LEARNING AKADEMIA®, con el objeto de obtener o intentar obtener información a través de medios que no han sido puestos a disposición o autorizados por AKADEMIA;
Acceder o intentar acceder la PLATAFORMA E-LEARNING AKADEMIA®, a través de medios ilegales o no autorizados por AKADEMIA, tales como el “hacking”, password “minning”, etc;
Probar la vulnerabilidad de la PLATAFORMA E-LEARNING AKADEMIA® o de ningún equipo o servidor conectado a la plataforma;
Usar ni monitorear información de la PLATAFORMA E-LEARNING AKADEMIA® o de ningún otro USUARIO AFILIADO, cuenta o cliente de AKADEMIA, que no sea su propia información;
Interferir o intentar interferir con el normal funcionamiento de la PLATAFORMA E-LEARNING AKADEMIA® y no podrá utilizar aparatos o dispositivos, programas, algoritmos o metodologías, rutinas o cualquier otro proceso para estos mismos fines;
Manipular o falsear su identidad para engañar de la PLATAFORMA E-LEARNING AKADEMIA® o AKADEMIA con respecto al verdadero origen de los mensajes o comunicaciones que sean enviados a través de la misma, o para contratar los servicios que son ofrecidos a través de la PLATAFORMA E-LEARNING AKADEMIA®. El USUARIO AFILIADO no puede pretender o representar ser una persona distinta a su propia y verdadera identidad;
Usar ilegítimamente la PLATAFORMA E-LEARNING AKADEMIA® con fines comerciales o en favor de terceros ni utilizarlo de forma impertinente o sin auténticas razones legítimas.
Alterar o evitar ninguna tecnología de seguridad incluida de la PLATAFORMA E-LEARNING AKADEMIA®.
Utilizar de la PLATAFORMA E-LEARNING AKADEMIA® para cualquier propósito ilegal, no autorizado o prohibido por estos términos y condiciones, que pueda afectar los derechos e intereses de AKADEMIA, sus clientes o relacionados.
Copiar o reproducir su contenido fuera de la plataforma, salvo los elementos descargables autorizados.
12.- FALLAS DEL SISTEMA. –
AKADEMIA no se responsabiliza por cualquier daño, perjuicio o pérdida que se cause al USUARIO AFILIADO por fallas en el (los) sistema (s) de la PLATAFORMA E-LEARNING AKADEMIA®. AKADEMIA tampoco será responsable por cualquier virus que pudiera infectar el equipo del USUARIO AFILIADO como consecuencia del acceso, uso o examen de la PLATAFORMA E-LEARNING AKADEMIA®. Los USUARIOS AFILIADOS NO podrán imputarle a AKADEMIA responsabilidad alguna o pago de indemnización alguna, en virtud de perjuicios resultantes de dificultades técnicas o fallas de la PLATAFORMA E-LEARNING AKADEMIA®. AKADEMIA no garantiza el acceso y uso continuado o ininterrumpido de la PLATAFORMA E-LEARNING AKADEMIA®. El sistema puede eventualmente no estar disponible debido a dificultades técnicas o fallas de Internet, o por cualquier otra circunstancia ajena a AKADEMIA”; en tales casos AKADEMIA procurará restablecerlo con la mayor celeridad posible sin que por ello pueda imputársele algún tipo de responsabilidad.
13.- MODIFICACIÓN DEL PRESENTE CONTRATO DE ADHESIÓN. –
Los términos y condiciones establecidos en el presente contrato de adhesión pueden ser cambiados, modificados, ampliados o reducidos en cualquier momento y de manera unilateral por parte de AKADEMIA. Es responsabilidad del USUARIO AFILIADO conocer estos términos y condiciones, y revisar sus sucesivas modificaciones. La PLATAFORMA E-LEARNING AKADEMIA® notificará al USUARIO AFILIADO sobre la existencia de nuevos términos y condiciones aplicables a la plataforma, y el USUARIO AFILIADO deberá manifestar su voluntad de aceptación haciendo “Click” en el campo de “aceptación” correspondiente habilitado por la PLATAFORMA E-LEARNING AKADEMIA® para poder mantener activo y continuar utilizando su servicio.
14.- POLÍTICA DE PRIVACIDAD. –
Las Políticas de Privacidad de AKADEMIA, forman parte integrante de estos términos y condiciones de uso de la PLATAFORMA E-LEARNING AKADEMIA®. Adicionalmente, el USUARIO AFILIADO reconoce que las comunicaciones a través del Internet no son 100% seguras, aun cuando hayan sido encriptadas, y que eventualmente, cualquier información o mensaje enviado a través de la PLATAFORMA E-LEARNING AKADEMIA® podría ser interceptado o leído por terceros.
15.- GARANTÍA DE INDEMNIDAD DEL “USUARIO AFILIADO”. –
El USUARIO AFILIADO acuerda indemnizar y mantener a AKADEMIA, sus representantes, socios, accionistas, subsidiarias y afiliadas, sucesores, empleados y agentes, libres de cualquier consecuencia jurídica o económica proveniente de cualquier demanda, pérdida, responsabilidad, reclamación o gasto (incluidos honorarios de abogados), que tenga por objeto el uso ilegal o no autorizado de la PLATAFORMA E-LEARNING AKADEMIA® por parte del USUARIO AFLIADO.
16.- LEY APLICABLE Y RESOLUCIÓN DE CONFLICTOS. –
El presente contrato, así como cualquier asunto relacionado con el mismo, será regido e interpretado de conformidad con las leyes del Estado de la Florida, Estados Unidos de América. Las partes reconocen que la pronta y equitativa resolución de cualquier disputa, reclamo o controversia que pueda surgir en relación con este contrato redundará en beneficio de ambas. A tal efecto, las partes manifiestan su intención de hacer todos los esfuerzos posibles para resolver dichas disputas, reclamos o controversias mediante la negociación y el mutuo acuerdo. En caso de no llegar a un acuerdo negociado, cualquier disputa, reclamo o diferencia relacionada con el presente contrato será sometida a la jurisdicción exclusiva de los tribunales con competencia en la ciudad de Miami, Florida, renunciando las partes a cualquier otra jurisdicción que pudiera corresponderles.

By and between ATOM eLearning LLC, incorporated under the Laws of the State of Florida, on September 1, 2022, domiciled in the city of Miami, State of Florida (hereinafter AKADEMIA), on the one hand; and on the other hand, any AFFILIATED USER who utilizes the AKADEMIA® E-LEARNING PLATFORM in any of its modalities or any other service that may be incorporated in the future, it has been agreed to enter into this agreement, which the “AFFILIATED USER” must carefully review in all its content and confirm that it has read, understood and accepted it unequivocally, without reservations and in its full scope, by clicking on the “Accept” button.
1.- DEFINITIONS. –
AKADEMIA®: Refers to the commercial company ATOM eLearning LLC, identified in the header.
AKADEMIA ® E-LEARNING PLATFORM: Refers to the Website www. Academia.com and all its subdomains, the AKADEMIA® E-learning Software available at lms.akademia.com and the AKADEMIA® Mobile Application.
AFFILIATED USER: Refers to any individual of legal age and capacity, or any duly incorporated legal entity, that has acquired a valid subscription to join the AKADEMIA® E-LEARNING PLATFORM.
in accordance with the national legislation of the country from which the user has had access to the AKADEMIA® E-LEARNING PLATFORM, or any legal entity legally incorporated in accordance with the laws of the country from which the user has had access to the AKADEMIA® E-LEARNING PLATFORM.
INSTRUCTORS: Refers to a group of individuals and advanced technologies, with a high practical, academic and professional level, prepared and trained in various areas of knowledge. These INSTRUCTORS are responsible for developing the educational content and the script of the asynchronous courses dedicated to the preparation, design, delivery, updating and continuous improvement, evaluation and feedback of courses and educational content available on the AKADEMIA® E-LEARNING PLATFORM. These INSTRUCTORS include: (i) Professionals and experts: all with vast practical experience in their respective areas of knowledge, who have demonstrated a high level of competence and professional achievement, as well as specialists who combine theoretical and practical knowledge, providing a comprehensive perspective to the courses available on the platform. (ii) Professors and academics: all with solid academic training and teaching experience, researchers who contribute with their knowledge updated to the state of the art and make valuable contributions in their respective areas of knowledge. (iii) Artificial intelligence: advanced AI systems developed to assist in the delivery of educational content; Machine-learning algorithms that personalize the experience according to the needs of AFFILIATED USERS and INSTRUCTORS that provide tutoring, automatic assessments and immediate feedback, enriching the educational process with data analysis and continuous adaptations. The platform's INSTRUCTORS are committed to educational excellence, dedicating themselves to offering an enriching, personalized learning experience adapted to the needs and objectives of each AFFILIATED USER. Their combination of human experience and advanced technology guarantees an innovative and effective learning environment, accessible to all AFFILIATED USERS enrolled in the AKADEMIA E-LEARNING PLATFORM.
2.- PURPOSE AND SCOPE. –
AKADEMIA makes available to the AFFILIATED USER its courses, materials, resources and other educational content available on its AKADEMIA E-LEARNING PLATFORM, in exchange for payment of a subscription and the commitment to use said resources, in accordance with the provisions of this agreement. The AKADEMIA E-LEARNING PLATFORM has been designed to connect AFFILIATED USERS with a set of INSTRUCTORS, materials and educational content of a very high academic level, which shall help you take the available courses and provide knowledge, useful information and academic guidance online.
3.- SUBSCRIPTION AND ACCESS. –
The AFFILIATED USER must create an account on the AKADEMIA E-LEARNING PLATFORM to access the contents. The AFFILIATED USER is responsible for providing true, accurate and complete information, as well as maintaining the confidentiality of his/her account and password, and for all activities that occur under his/her account. The AFFILIATED USER may opt for a free subscription with limited access to certain contents, or a paid subscription, in any of its modalities, which offers full access to the resources and materials available on the AKADEMIA E-LEARNING PLATFORM. The subscription shall provide the AFFILIATED USER with access to all courses and contents available on the platform (“all access”) during the term of the subscription. The courses may include evaluations, certificates and other materials as specified in each individual course.
The AFFILIATED USER, through the AKADEMIA® E-LEARNING PLATFORM, shall have access to sufficient space to store and quickly access all its data and personal information, as well as online, non-presential courses and educational content 24 hours a day, seven (7) days a week, and three hundred sixty-five (365) days a year. The AFFILIATED USER shall be able to take online courses and shall have scheduled access to INSTRUCTORS who shall assist with the discussion and reinforcement of the courses and educational content offered on the AKADEMIA® E-LEARNING PLATFORM.
4.- OBLIGATION TO UPLOAD INFORMATION AND PERSONAL DATA ON THE “E-LEARNING ACADEMIA PLATFORM”. –
The AFFILIATED USER shall be required to register and pay the subscription to activate its membership in the AKADEMIA E-LEARNING PLATFORM. To register, the AFFILIATED USER shall upload its information and personal data in the corresponding fields required by the AKADEMIA E-LEARNING PLATFORM. To do so, it shall include all the information required and shall make its best efforts to ensure that the information is uploaded in an exact and unequivocal manner, being responsible for any information that has not been uploaded, or when it is false, misleading, incomplete or outdated information. The AFFILIATED USER shall be required to update all its information and personal data in the corresponding fields required by the AKADEMIA E-LEARNING PLATFORM, periodically, during the term of this agreement.
The AFFILIATED USER authorizes AKADEMIA to upload all the information and personal data necessary to keep it updated in its user file. The AFFILIATED USER's personal data shall be stored on servers or magnetic means that adhere to high standards of physical and technological security. These data shall be handled according to the highest levels of privacy protection and data processing, ensuring the free movement of data while fully safeguarding the AFFILIATED USER's right to privacy. AKADEMIA® shall implement the necessary security measures to prevent unauthorized alteration, loss, processing, or access, in compliance with AKADEMIA Privacy Policies.
5.- DURATION, SUSPENSION AND TERMINATION OF THE SUBSCRIPTION. –
The subscription to the AKADEMIA E-LEARNING PLATFORM shall have an indefinite duration for the AFFILIATED USER, counted from the date of subscription and activation of the service. The AFFILIATED USER may keep the platform service active in an unlimited way for as long as it keeps the payments corresponding to its subscription updated. The AKADEMIA E-LEARNING PLATFORM service may be terminated at any time, through the mechanisms established below.
The AFFILIATED USER may terminate the service and cancel its account at any time and unilaterally, through a request for termination of the service made through the AKADEMIA E-LEARNING PLATFORM, which shall be processed automatically. Requests for termination of the service made through mechanisms other than the AKADEMIA E-LEARNING PLATFORM shall not be considered as requests for termination of the service. Once the AFFILIATED USER has sent the request for termination of the service and cancellation of its account through the indicated means, the service shall be suspended at the end of the last contracted period and the account shall be immediately switched to free service mode. However, the AFFILIATED USER may resume the service in the future using the same account, since only the access is blocked, but not the account. The termination process shall not be irreversible, allowing the AFFILIATED USER to reactivate its account if it wishes. AKADEMIA may at any time and unilaterally suspend the service and/or terminate the agreement of the AFFILIATED USER, as well as prevent any future use or access to the AKADEMIA E-LEARNING PLATFORM. In this case, the unilateral suspension and/or termination of the service by AKADEMIA shall be notified to the AFFILIATED USER by means of a written message to that effect that shall be sent through the AKADEMIA E-LEARNING PLATFORM. The unilateral termination of the service by the AFFILIATED USER shall not generate any obligation of reimbursement by AKADEMIA to the AFFILIATED USER with respect to the price paid for the subscription to the service. The AFFILIATED USER shall not have the right to claim damages, loss of profits, consequential damages, or any other concept due to the unilateral termination of the agreement.
AKADEMIA® reserves the right, at its sole discretion, to delete content or suspend the accounts of AFFILIATED USERS if it detects aggressive, discriminatory or inappropriate language in the exchange with teachers or other users. This measure seeks to maintain a respectful and safe environment for all participants of the AKADEMIA® E-LEARNING PLATFORM. Any conduct that violates this policy may result in the suspension or termination of access to the services without prior notice. AKADEMIA® may also temporarily and unilaterally suspend access to the AKADEMIA® E-LEARNING PLATFORM for any AFFILIATED USER if, in its opinion, the latter breaks any law or fails to comply with any of the provisions established in this document and other applicable Terms and Conditions and other policies of the Site, or engages in fraudulent or deceitful conduct or acts, or has provided false or erroneous information.
6.- SUSCRIPTIONS. –
The financial consideration that the AFFILIATED USER shall pay to AKADEMIA® shall consist of a subscription that may be activated for equal, successive and unlimited periods in time. The price and conditions of the subscription shall be published on the Website .The AFFILIATED USER shall make a single payment for a monthly, quarterly, half-yearly or annual membership, and from the activation of his/her profile on the AKADEMIA® E-LEARNING PLATFORM, it shall have unlimited access to the platform from anywhere in the world. The AFFILIATED USER shall have twelve (12) hours to unsubscribe from the platform without additional costs and shall be reimbursed for its purchase. If they cancel the service after the first 12 hours, they shall enjoy what they have paid up to that moment and, at the end of said period, they shall be transferred to a free account. No refund is contemplated when the service is cancelled except in the first 12 hours, as mentioned. There shall be no extra charges or additional disbursements. Payment shall be made securely, through mechanisms that provide due protection and confidentiality of your data and payment mechanisms. The AKADEMIA® E-LEARNING PLATFORM does not collect, handle or store bank or payment data. These are carried out through specialized companies that guarantee the correct handling and protection of the same.
AKADEMIA reserves the right to review and modify subscription prices at any time. However, any changes AKADEMIA makes to the price of the service shall not have retroactive effect and shall not affect the service(s) that have been activated by the AFFILIATED USER prior to the date of publication of each modification. Changes to the service prices shall only have effect in the future with respect to those services that are contracted and activated after the publication of each modification.
7.- INDEPENDENCE OF JUDGEMENT OF THE INSTRUCTORS. –
AKADEMIA® is a company that offers technological platform services. All INSTRUCTORS affiliated with the AKADEMIA® E-LEARNING PLATFORM are independent professionals who freely exercise their profession, using the platform to offer their asynchronous courses and educational materials to AFFILIATED USERS. In this sense, the AKADEMIA® E-LEARNING PLATFORM is exclusively a means that allows AFFILIATED USERS to connect and access a variety of courses and content useful for their educational development. All information, data, knowledge, recommendation or indication provided by an INSTRUCTOR through the AKADEMIA® E-LEARNING PLATFORM is exclusively of his or her own creation and authorship. INSTRUCTORS guarantee that their works are original and do not duplicate works of third parties. Therefore, AKADEMIA® is not responsible for any damage or loss related to or derived from, said guarantees.
8.- PRIVACY AND MANAGEMENT OF PERSONAL DATA AND INFORMATION OF THE AFFILIATED USER. –
Any information that relates to the identity of the AFFILIATED USER is considered confidential information of a private nature. Therefore, it shall be treated as such by AKADEMIA® under the highest standards of protection and privacy related to processing of their personal data and the free circulation of such data. Through this regulation, the right to privacy of the AFFILIATED USER is fully guaranteed, applying the necessary security measures to prevent its alteration, loss, treatment or unauthorized access. It shall be always observed: AKADEMIA Privacy Policies.
Additionally, AKADEMIA® guarantees the confidentiality of all information generated by the AFFILIATED USER in its interaction with the AKADEMIA® E-LEARNING PLATFORM. The AFFILIATED USER shall register and store its personal information on the platform, and AKADEMIA® undertakes to use it exclusively to improve the experience and proper functioning of the AKADEMIA® E-LEARNING PLATFORM. Furthermore, it undertakes not to assign, transfer, sell, license or disclose this information to third parties, except in the following cases: (i) If the AFFILIATED USER expressly authorizes to do so in writing. (ii) If it is necessary to allow our service providers, associated entities or agents to provide a better service to the AFFILIATED USER on our behalf. (iii) Only for the purpose of providing the AFFILIATED USER with our products or services, or those of our associated entities. (iv) Only to provide it to entities that perform marketing and promotional services for us or on our behalf, or to entities with which we have marketing alliances. (v) When necessary due to the sale of all or a substantial majority of AKADEMIA® assets, or its merger or reorganization with another entity. (vi) When required or permitted by law.
For these purposes, the names and surnames, age, email address and contact telephone numbers of the AFFILIATED USER are considered personal information. AKADEMIA® reserves the right to use anonymous data from the information generated and stored during the interaction process between the AFFILIATED USER and the AKADEMIA® E-LEARNING PLATFORM, to provide statistical information to third parties.
9.- INTELLECTUAL PROPERTY AND INTANGIBILITY OF THE CONTENT OF THE AKADEMIA® E-LEARNING PLATFORM. –
All information, text, graphics, user interface, visual interface, photographs, trademarks, logos, sounds, music, literary works and computer codes, design, structure, selection and arrangement of spaces, visual appearance or look & feel, as well as any arrangement or disposition of the elements that make up the AKADEMIA® E-LEARNING PLATFORM, is the property of AKADEMIA and is duly protected by the laws of intellectual property, unfair competition and applicable international treaties. Therefore, the AKADEMIA® E-LEARNING PLATFORM may not be used, copied, reproduced, published, uploaded or downloaded, publicly communicated, decoded, translated, transmitted or distributed in any way to third parties, other computers, servers or web pages, by any means without the express authorization of AKADEMIA. The AFFILIATED USER agrees not to copy, adapt, reproduce, distribute, reverse engineer, decompile, or disguise any aspect of the AKADEMIA® E-LEARNING PLATFORM. The AFFILIATED USER agrees and agrees not to use robots, “spiders”, other automated devices, or manual processes to control or copy any content of the AKADEMIA® E-LEARNING PLATFORM. Any interference, attempt, or activity that violates or is contrary to the laws on intellectual property rights and/or the prohibitions stipulated in this agreement shall subject the person responsible to the relevant legal actions and to the sanctions provided for in this agreement, as well as making the person responsible for compensation for any damages caused. AKADEMIA shall not claim rights over the Intellectual Property of the content that the AFFILIATED USER uploads, stores, or provides to the AKADEMIA® E-LEARNING PLATFORM. The service provided by the AKADEMIA® E-LEARNING PLATFORM, as well as the programs, databases, networks, and files that allow the AFFILIATED USER to access and use the AKADEMIA® E-LEARNING PLATFORM, are the property of AKADEMIA and are protected by international laws and treaties on Intellectual Property. The improper use and total or partial reproduction of said contents is prohibited, except with the express written authorization of AKADEMIA.
10.- END USER LICENSE AGREEMENT. –
AKADEMIA® is the owner of the AKADEMIA® E-LEARNING PLATFORM and grants the AFFILIATED USER a non-exclusive, personal, non-transferable and revocable license to access and use it exclusively within the context of these terms and conditions. The license is granted for a fee and its price is included in the amount paid by the AFFILIATED USER for the subscription to the platform. This license shall enter into force and shall have a duration equal to that of this adhesion agreement.
Subject to these Terms and our Policies, we grant you a limited, personal, non-exclusive, non-transferable, revocable license right to use our Services. The rights granted herein are for your personal, non-commercial use only, unless you obtain our written permission to do otherwise. AFFILIATED USER agrees that you shall create, access and/or use only one user account, unless expressly permitted by AKADEMIA®, and shall not share your account access or account access information with any third party. Your use of our Services does not grant you ownership or any intellectual property rights in our Services or the content you access.
The AFFILIATED USER may not rent, lease, lend, sell, redistribute or sublicense the AKADEMIA® E-LEARNING PLATFORM. The AFFILIATED USER may access and/or download the AKADEMIA® E-LEARNING PLATFORM from any device that he or she uses or controls. AKADEMIA® reserves all rights not expressly granted to the AFFILIATED USER herein. AKADEMIA® may, at its sole discretion, make available to the AFFILIATED USER new versions or updates of the AKADEMIA® E-LEARNING PLATFORM, to which this same license shall be extended.
The AFFILIATED USER accepts that AKADEMIA® may capture and use information and technical data from its devices in order to facilitate the maintenance, updating and improvement activities of the AKADEMIA® E-LEARNING PLATFORM, as well as related support and services. The AFFILIATED USER acknowledges and accepts that the use of the AKADEMIA® E-LEARNING PLATFORM shall be at its own risk and without guarantees of any kind.
11.- NEGATIVE OBLIGATIONS OF THE “AFFILIATED USER”. –
The AFFILIATED USER shall not:
Use devices or apparatus, programs, algorithms or methodologies, or any other process to access, acquire, copy or monitor, reproduce or modify the navigation structure or presentation of the AKADEMIA® E-LEARNING PLATFORM, to obtain or attempt to obtain information through means that have not been made available or authorized by AKADEMIA;
Access or attempt to access the AKADEMIA® E-LEARNING PLATFORM, through illegal means or not authorized by AKADEMIA, such as “hacking”, password “mining”, etc.
Test the vulnerability of the AKADEMIA® E-LEARNING PLATFORM or any equipment or server connected to the platform.
Use or monitor information from the AKADEMIA® E-LEARNING PLATFORM or from any other AFFILIATED USER, AKADEMIA® account or client, other than your own information.
Interfere or attempt to interfere with the normal operation of the AKADEMIA® E-LEARNING PLATFORM and may not use devices or apparatus, programs, algorithms or methodologies, routines or any other process for these same purposes.
Manipulate or falsify your identity to deceive the AKADEMIA® E-LEARNING PLATFORM or AKADEMIA regarding the true origin of the messages or communications that are sent through it, or to contract the services that are offered through the AKADEMIA® E-LEARNING PLATFORM. The AFFILIATED USER may not pretend or represent to be a person other than his true own.
Unlawfully use the AKADEMIA® E-LEARNING PLATFORM for commercial purposes or in favor of third parties or use it in an impertinent manner or without genuine legitimate reasons.
Alter or avoid any security technology included in the AKADEMIA® E-LEARNING PLATFORM.
Use the AKADEMIA® E-LEARNING PLATFORM for any illegal purpose, unauthorized or prohibited by these terms and conditions, which may affect the rights and interests of AKADEMIA, its clients or related parties.
Copy or reproduce its content outside the platform, except for authorized downloadable elements.
12.- SYSTEM FAILURES. –
AKADEMIA shall not be liable for any damage, harm or loss caused to the AFFILIATED USER due to failures in the AKADEMIA® E-LEARNING PLATFORM system(s). AKADEMIA shall also not be liable for any virus that may infect the AFFILIATED USER's equipment because of accessing, using or browsing the AKADEMIA® E-LEARNING PLATFORM. AFFILIATED USERS may NOT hold AKADEMIA responsible or pay any compensation for damages resulting from technical difficulties or failures of the AKADEMIA® E-LEARNING PLATFORM. AKADEMIA does not guarantee continued or uninterrupted access to and use of the AKADEMIA® E-LEARNING PLATFORM. The system may eventually be unavailable due to technical difficulties or Internet failures, or due to any other circumstance beyond the control of AKADEMIA; in such cases AKADEMIA shall endeavor to restore it as quickly as possible without any liability being attributed to it.
13.- MODIFICATION OF THIS ADHESION AGREEMENT. –
The terms and conditions set forth in this membership agreement may be changed, modified, expanded or reduced at any time and unilaterally by AKADEMIA®. It is the responsibility of the AFFILIATED USER to be familiar with these terms and conditions and to review any subsequent modifications. The AKADEMIA® E-LEARNING PLATFORM shall notify the AFFILIATED USER of the existence of new terms and conditions applicable to the platform, and the AFFILIATED USER must express its willingness to accept them by clicking on the corresponding “acceptance” button enabled by the AKADEMIA® E-LEARNING PLATFORM in order to keep the service active and continue using it.
14.- PRIVACY POLICY. –
The AKADEMIA Privacy Policies are an integral part of these terms and conditions of use of the AKADEMIA® E-LEARNING PLATFORM. Additionally, the AFFILIATED USER acknowledges that communications over the Internet are not 100% secure, even when they have been encrypted, and that eventually, any information or message sent through the AKADEMIA® E-LEARNING PLATFORM could be intercepted or read by third parties.
15.- INDEMNITY GUARANTEE OF THE “AFFILIATED USER”. –
The AFFILIATED USER agrees to indemnify and hold AKADEMIA®, its representatives, partners, shareholders, subsidiaries and affiliates, successors, employees and agents, free from any legal or economic consequences arising from any demand, loss, liability, claim or expense (including attorneys' fees), arising from the illegal or unauthorized use of the AKADEMIA® E-LEARNING PLATFORM by the AFFILIATED USER.
16.- APPLICABLE LAW AND CONFLICT RESOLUTION. –
This contract, as well as any matter related to it, shall be governed and interpreted in accordance with the laws of the State of Florida, United States of America. The parties acknowledge that the prompt and equitable resolution of any dispute, claim, or controversy arising in connection with this contract will be in the interest of both. To this end, the parties express their intent to make all reasonable efforts to resolve such disputes, claims, or controversies through negotiation and mutual agreement. If no agreement is reached, any dispute, claim, or difference related to this contract shall be submitted to the exclusive jurisdiction of the courts with jurisdiction in the city of Miami, Florida, and the parties waive any other jurisdiction to which they may be entitled.
